Software License Agreement — Base-99 Core

Introduction

This Software License Agreement ("Agreement") governs your use of the Base-99 Core Platform and all associated software, systems, and applications ("Software"). By accessing or using the Software, you agree to be bound by this Agreement. If you do not agree, do not use the Software.

1. License Grant

TTucker Industries LLC grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Software for personal or authorized business purposes
• Use the Software in accordance with these Terms and applicable laws
• Display content provided by the Software on approved devices

This license is provided solely for your use and may not be transferred, sold, licensed, or sub-licensed to others without explicit written consent from TTucker Industries LLC.

2. Restrictions

You may NOT:

• Reverse engineer, decompile, disassemble, or attempt to derive source code
• Copy, duplicate, modify, or create derivative works of the Software
• Resell, sublicense, rent, lease, or transfer the Software
• Remove or obscure any proprietary notices or labels
• Use the Software to develop competing products or services
• Exploit AI systems for unauthorized purposes or model extraction
• Use the Software in ways that violate intellectual property rights
• Attempt to gain unauthorized access to platform systems
• Use the Software for illegal, harmful, or unethical purposes

3. Ownership

All rights, title, and interest in the Software are retained by TTucker Industries LLC, including but not limited to:

• Source code and object code
• Patent, copyright, and trademark rights
• Algorithms and proprietary methods
• AI models and machine learning systems
• Data structures and architectural designs
• Documentation and technical materials

No ownership rights are transferred to you under this license. You retain ownership of your personal data but grant the Company necessary rights to operate the Software.

4. Updates and Modifications

TTucker Industries LLC reserves the right to:

• Modify, update, or enhance the Software at any time
• Add, remove, or change features and functionality
• Update APIs, interfaces, or system requirements
• Discontinue support for specific versions
• Implement changes without prior notice

Your continued use of the Software following any update constitutes acceptance of the changes.

5. Termination

TTucker Industries LLC may suspend or terminate your license immediately if:

• You violate any term of this Agreement
• You engage in illegal or unauthorized use of the Software
• You attempt to circumvent security measures
• You reverse engineer or attempt to extract proprietary information
• Your account is used for fraudulent or abusive purposes
• We determine your use violates applicable law

Upon termination, your access to the Software ceases immediately, and you must cease all use.

6. Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" without warranties, representations, or guarantees of any kind, either express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, reliability, or completeness
• Uninterrupted or error-free operation
• Compatibility with third-party systems

You use the Software entirely at your own risk. TTucker Industries LLC does not warrant that the Software will meet your expectations or requirements.

7. Limitation of Liability

To the fullest extent permitted by law, TTucker Industries LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising from your use of the Software, even if advised of the possibility of such damages.

8. Compliance and Audits

TTucker Industries LLC reserves the right to audit your use of the Software to ensure compliance with this Agreement. You agree to cooperate with reasonable audit requests.

9. Governing Law

This Agreement is governed by the laws of the State of Ohio, USA, without regard to conflicts of law principles.
